This Policy describes how we collect, use, disclose, and safeguard Personal Information. This Policy applies to individuals who visit our website, Shumaker.com, law blogs, and social media pages (collectively, the “Sites”), or participate in any of our online or in-person services, events, presentations, webinars, and other business activities (collectively, “Services”).

From time to time, we may update this Privacy Policy. When changes are made, an amended version of this Privacy Policy will be posted on this webpage. Please check our website periodically for updates.

Personal Information We Collect and Sources of Personal Information

“Personal Information” as used in this Policy is information that identifies, relates to, describes, is linked, or reasonably linkable to an identified or identifiable individual. Personal Information obtained from or relating to our current, former, or prospective clients may be subject to separate or additional terms of an engagement letter or similar agreement, the American Bar Association’s (ABA) Model Rules of Professional Conduct, and other applicable laws and professional principles.

We collect the following types of Personal Information as described below:

Personal Information that You Provide

When you interact with our Sites and submit to our Services, we collect certain Personal Information that you voluntarily provide to us for the following purposes:

  • Account Creation: If you create an external account (such as via ShareFile or Dropbox) to communicate with us, you may provide us with your name, email address, mailing address, telephone number, company name, and other information, as applicable.
  • General Contact Form: If you submit a request on our General Contact Form, you may provide us with your name, email address, company name, and other information that you provide in the questions/comments portion of the form.
  • Subscribe to Our Mailing List: If you sign up to receive emails from us, including our legal and legislative insights, you may provide us with your full name and email address. You may also provide us with your company name and job title. To unsubscribe from our marketing emails, please click the “unsubscribe” link located at the bottom of our emails. You also may unsubscribe from a Shumaker Loop & Kendrick mailing list by emailing us at privacy@shumaker.com.
  • Register for an Event. If you register for or attend an event, you may provide us with your name, email address, company name, and other contact information, as applicable.
  • Make a Payment. If you pay your bill online through our Client Payment Center, you will provide us with your payment amount, payment card information, billing address, company information, invoice number, matter number, phone number, and email address. You may also provide us with additional information such as notes regarding the relevant transaction.
  • Client Communications. If you are a current SLK client, you may choose to provide us with information regarding your legal and regulatory compliance requirements, commercial and financial objectives, and other details to assist us in presenting and defending legal claims as well as offering legal counsel.

Personal Information that We Collect as You Visit Our Sites

When you visit the Sites, we automatically collect certain Personal Information through our use of cookies and other website tracking technologies. This is Personal Information primarily in the form of Device, Internet and Network Activity Information, such as:

  • Log and Usage Information. For example, the pages on the Sites you access, the frequency of access, and what you click on while on the Sites.
  • Device Information. For example, information about the computer, mobile phone, tablet or other device you use to access the Sites, such as your device’s hardware model, operating system, application version number, and browser. This may also include your IP address or proxy server.
  • Location Information. For example, geolocation information from visitors to the Sites. We may also collect your IP address, the name of your Internet Service Provider (“ISP”), the date and time that you access our Sites, the name of your web browser, operating system, and your activity on our Sites (“Browsing Information”).

Personal Information that We Collect from Other Sources.

We receive Personal Information about individuals from our Service Providers. A “Service Provider” as used in this Policy is a legal or natural person that processes Personal Information on our behalf, at our direction, and in connection with certain business activities. Service Providers may include our client management database vendor, cloud-hosting provider, internet service provider, payment management software provider, website analytics provider, and other similar vendors that host or provide the applications and systems which help us provide our Sites and Services. Service Providers are contractually prohibited from utilizing Personal Information for any purposes other than that which is outlined in our contract or otherwise instructed by a data controller.  

We may also receive aggregate information from third parties such as Google, who provide us with analytics tools that we use to track the effectiveness of our Sites. Aggregate information is not Personal Information.

For example, we may use YouTube to embed on our Sites videos such as informational videos about SLK or customer testimonials. YouTube places cookies in these embedded videos which may help YouTube remember a user’s input, associated actions, and privacy settings on the YouTube platform. Although we have enabled privacy-enhanced mode, which prevents embedded YouTube content “views” from influencing the viewer’s browsing experience on YouTube, some tracking might still occur if a user is logged into their YouTube account or interacts with the embedded video, such as clicking on the video to play it. Though these embedded videos are provided on our Site, they are hosted by YouTube, and SLK has no control over YouTube’s privacy practices beyond enabling privacy-enhanced mode. Use of Personal Information

We use Personal Information for a variety of business purposes, including the following:

  • Provision of Services. We use Personal Information primarily for the business purpose for which you originally provided us with the Personal Information. Our primary goal in collecting Personal Information is to provide you with a safe, smooth, efficient, and customized experience online and offline. We will use your Personal Information to provide the Service(s) you request. 
  • Administration of Client Relationships. We use Personal Information to administer our relationship with our clients pursuant to contracts we have executed with them, including processing invoices, maintaining client records, and addressing client concerns.
  • Marketing Communications. With your affirmative opt-in consent, we will send you targeted marketing, service update notices, and other communications based on your communications preferences. We may use identifiers to contact you directly via email regarding our content or Services that may be of interest to you.
  • Physical Security. We maintain surveillance cameras in our offices to ensure the security of our workforce, clients, and other visitors to our campuses. Our surveillance footage does not include audio.
  • Cybersecurity of our Sites. We use Device, Internet and Network Activity Information primarily to administer and protect our Sites and our systems, to identify server problems, and to compile aggregated statistics about site usage.
  • Improvement of our Sites. We may also use Device, Internet and Network Activity Information to improve our Sites and our systems, to better understand the preferences of our site visitors, and to help personalize your experience browsing and accessing our Sites.
  • Complying with Legal and Ethical Requirements. We may use Personal Information to comply with legal and regulatory requirements.

Disclosure of Personal Information

We do not sell or share your Personal Information as those terms are defined in applicable data privacy laws nor do we disclose your Personal Information to third parties as that term is defined in applicable data privacy laws. We may disclose your Personal Information with the following categories of recipients:

  • Affiliated companies of SLK (i.e. Shumaker Advisors, Shumaker Sports);
  • Service Providers and other data processors, pursuant to contractual arrangements whereby the Service Providers and data processors are bound by confidentiality and may only use the Personal Information as necessary to provide their services to us.
  • As required by law, or in the interest of protecting or exercising our or others’ legal rights, e.g., without limitation, in connection with requests from law enforcement officials and in connection with court proceedings;
  • To the appropriate parties in connection with a prospective or actual merger, acquisition, or other corporate transaction of all or parts of our business;
  • Professional advisors, partners, consultants, expert witnesses, and agents of the Firm to provide and administer our services;
  • Our clients as necessary in the course of our representation;
  • Other parties when we have your consent to do so.

Depending on the applicable data privacy laws and exceptions in your jurisdiction, and in circumstances where we are a deemed a “business” or “data controller” under those laws, you may have the ability to exercise certain rights with respect to your Personal Information, including:

You may have the right to submit an appeal if you are not satisfied with the outcome of your request. Third-Party Sites

The Sites may contain links to other sites and embedded video content that are neither owned nor controlled by us. We do not share your Personal Information with those websites and are not responsible for their privacy practices.

We link to other websites as a service to our users. The presence of a link is not an endorsement of that website by us, nor is it provided with any guarantee of accuracy or completeness. Links are not intended to render legal advice or other professional services.

When users follow a link to an outside website, they are leaving our Sites and are subject to the privacy and security policies of the owners/sponsors of the outside website(s). We are not responsible for the information collection practices of other websites.  We encourage you to learn about the information practices of those companies.

Yours Choices About Communications from Us

In connection with promotions or other projects, we may ask you to opt-in to receive certain communications from us. If you choose not to opt in to certain promotions or other communication requests, we will respect your decision.  You may also withdraw your opt-in consent at any time via the unsubscribe button in our emails or by contacting us at 1-800-211-1252 or privacy@shumaker.com.

Children’s Privacy

We do not knowingly target or collect Personal Information from consumers under the age of 16.  Our Sites are intended for adults.  If you become aware that a child under the age of 16 has provided us with Personal Information, please have that child’s parent or legal guardian contact us to have the child’s Personal Information deleted from our systems. 

Notice to California Residents

This section of the Privacy Policy is intended solely for California residents. If you are not a California resident, this section does not apply to you, and you should not rely on it.  

We currently collect and in the last 12 months have collected the categories of Personal Information listed in the table below.We collect that Personal Information directly from California residents and from our clients, through case/legal information and requests, government entities, operating systems and platforms, and in some cases, through website tracking technologies.  We do not collect all categories of Personal Information listed from each source. The table below also includes the categories of recipients who may receive Personal Information from us.

We currently collect and have collected the above categories of Personal Information for the following business or commercial purposes:

  • Auditing related to counting ad impressions to unique visitors, verifying positioning and quality of ad impressions, and auditing compliance with this specification and other standards;
  • Helping to ensure security and integrity to the extent the use of your Personal Information is reasonably necessary and proportionate for these purposes;
  • Debugging to identify and repair errors that impair existing intended functionalities;
  • Short-term, transient use, including, but not limited to, non-personalized advertising shown as part of your current interaction with us, provided that your Personal Information is not disclosed to another third party and is not used to build a profile about you or otherwise alter your experience outside the current interaction with us;
  • Performing services, including maintaining or servicing accounts, providing customer service, processing or fulfilling orders and transactions, verifying customer information, processing payments, providing financing, providing analytic services, providing storage, or providing similar services;
  • Facilitating our business and operational purposes in relation to the above services;
  • Undertaking internal research for technological development and demonstration;
  • Undertaking activities to verify or maintain the quality or safety of a service or device that is owned, manufactured, manufactured for, or controlled by us, and to improve, upgrade, or enhance the service or device that is owned, manufactured for, or controlled by us;
  • Advancing our commercial or economic interests, such as by inducing another person to buy, rent, lease, join, subscribe to, provide, or exchange products, goods, property, information, or services, or enabling or effecting, directly or indirectly, a commercial transaction.

We do not sell or share, as those terms are defined in applicable data privacy laws, Personal Information. We also do not use or disclose sensitive personal information for purposes other than those specified in Section 7027, subsection (m) of the CCPA regulations. We do not collect or process sensitive Personal Information for purposes of inferring characteristics about individuals.

We apply reasonable technical, administrative, and physical safeguards to protect Personal Information from loss, misuse, and unauthorized access, disclosure, alteration, and destruction. This includes, among other things, using industry standard techniques such as firewalls, encryption, intrusion detection, and website monitoring. However, transmissions over the Internet are never 100% secure or error-free. As a result, we cannot guarantee the security of information you may transmit to us or receive from us.

We retain Personal Information for as long as necessary to fulfill the purposes for which we collected it, such as to provide you with the Services you have requested, or to satisfy any legal, accounting, contractual, or reporting requirements that apply to us.

Shine the Light Law

If you are a California resident and have an established business relationship with us, you may request that we do not disclose your Personal Information to third parties for the third parties’ own direct marketing purposes (as those terms are defined in California Civil Code § 1798.83).
