James I. Rothschild has substantial experience in the areas of mergers and acquisitions and real estate development and investment. Jim also has experience advising U.S. companies with respect to rules and regulations administered by the Office of Foreign Assets Control (OFAC), including the application of sanctions against Iran, North Korea and other nations. He also has advised foreign manufacturers seeking to export goods to sanctioned countries regarding the applicability to their activities of U.S. imposed sanctions.
Jim has extensive experience in representing both public and private companies in selling and acquiring businesses and business units. He also regularly represents public companies in connection with their SEC compliance activities and primary and secondary public offerings of equity securities. He has substantial experience in debt and equity financing.
In the past ten years, Jim has completed over 50 acquisition and disposition transactions. In the past two years, he has handled, among other things, (1) a stock purchase for an NYSE company with a transaction value of $620 million, (2) a stock sale to a hedge fund with a transaction value of $165 million, (3) a stock purchase for a public company with a transaction value of $175 million, and (4) an asset sale to a hedge fund with a transaction value of $25 million.
