Nick is an accomplished private funds attorney with extensive experience representing clients across the private investment funds and alternative investments industries.
His practice focuses primarily on the structuring, formation, and ongoing operation of U.S.-based and offshore private funds and investment vehicles, including private equity funds, hedge funds, hybrid funds, fund of funds, special purpose vehicles, and managed accounts. Nick regularly counsels fund sponsors and their investors in the selection and organization of private fund structures—including stand-alone funds, master-feeder funds, mini-master funds, multiple series funds, and fund of funds—domiciled in the U.S. and in select offshore jurisdictions, such as the Cayman Islands and the British Virgin Islands.
In addition, his representations encompass investment advisers employing a diverse array of investment strategies across a broad range of asset classes, including public and private equity, debt, credit, commodities, futures, venture capital, real estate, and cryptocurrency. Nick also regularly advises clients regarding securities compliance and regulatory issues relating both to private funds and in connection with private placements and other private securities offerings.
Before joining Shumaker, Nick was a partner and co-chair of the private investment funds practice at a New York City law firm and spent several years at other law firms in New York and Connecticut.
Prior to attending law school, Nick began his career in the investment management industry as a proprietary securities trader, giving him a unique perspective on the needs and strategies of his clients.
