David's principal areas of practice are banking, mergers and acquisitions (M&A), securities, regulated lending, and general corporate matters. He regularly assists banking organizations with M&A matters, including the purchase and sale of entire banks, thrift institutions, or branches. David also represents financial institutions in both public securities offerings and private placements, and he provides ongoing counsel regarding reporting obligations under the Securities and Exchange Act of 1934.
As a part of his practice, David also has significant experience in:
- The regulation of both depository and non-depository financial institutions
- Interactions with both federal and state banking regulators, including the Board of Governors of the Federal Reserve System and the various Reserve Banks, the Federal Deposit Insurance Corporation (FDIC), and the Office of the Comptroller of the Currency
- Organization and regulation of banks, thrifts, bank holding companies, and trust companies
- Fintech
