A founding partner in Shumaker's Charlotte office, Phil brings a background in management to his role as counselor representing major corporations, LLCs and shareholders in mergers and acquisitions, contracts, and general corporate transactional matters, as well as state and federal securities law issues. Practicing for more than 35 years, he has significant experience representing clients in all stages of acquisitions and sales transactions. Phil also regularly represents clients engaged in management buyouts and succession equity transfers.
Phil regularly serves clients as an "outside general counsel" in a broad range of industries, including manufacturing, health care, securities, and construction. Recognized for representing both middle-market entities and large corporations in their transactions, his representative experience includes:
- Serving as lead seller's counsel in a $135 million merger transaction for a multi-state wholesaler
- A $41.5 million stock purchase transaction for an international manufacturer
- A $70 million multi-state health care services F Reorg transaction structured with rollover equity interests
