Philip S. Chubb

Partner, Corporate, Tax and Transactions Regional Service Line Leader

Regional Service Line Leader of the Corporate, Tax and Transactions Service Line, Phil has a strong background of management experience that he brings to his role as counselor representing major corporations, LLCs and shareholders, and members in mergers and acquisitions, contracts, and general corporate transactional matters, as well as state and federal securities law issues. Practicing for more than 35 years, he has significant experience representing clients in all stages of acquisitions and sales transactions. Phil also regularly represents clients engaged in management buyouts and succession equity transfers.

Long recognized for his strength in the middle market, Phil has the experience and aptitude to handle large transactions. Phil’s recent projects include serving as lead seller’s counsel in a $135 million merger transaction for a multi-state wholesaler, a $41.5 million stock purchase transaction for an international manufacturer, and a $70 million multi-state health care services F Reorg transaction structured with rollover equity interests.

Clients in a broad range of industries, including manufacturing, health care, securities, and construction, value his depth of knowledge and his desire to be part of the team. Phil believes there is no better way to learn how to best represent a client than to meet with them at their offices and facilities, where he can see the inner workings and operations of client businesses.

As one of the founding partners of the firm’s Charlotte office, Phil has dealt with many of the same business growth issues that his clients face, deepening his understanding of their challenges. He regularly serves clients as an “outside general counsel,” where his experience in transactional and other business matters gives him the knowledge to talk about a client’s legal and business needs on a comprehensive level. When he comes up against a matter outside his purview, Phil acts as a liaison in bringing in colleagues as he continues to manage the case, keeping in mind the clients’ best interests.
