Lloyd is a member of Shumaker’s Intellectual Property (IP) Service Line who brings a rare combination of technology transactions insight and patent preparation and prosecution experience to every engagement.

Most technology transactions attorneys rely on patent counsel to explain the IP at the heart of the deal, and most patent attorneys hand the commercial agreements off to someone else. Lloyd handles both. With his engineering background, patent prosecution experience, and deep familiarity with complex commercial agreements, Lloyd can evaluate the technical IP, identify what needs to be protected, and draft or negotiate the deal, all without the delays that come from splitting the work across multiple attorneys.

On the transactions side, Lloyd drafts and negotiates technology-driven agreements of all kinds: Software as a Service (SaaS) and enterprise software licenses, master services agreements, IP license agreements, supply and manufacturing agreements, data processing addenda, statements of work for software development and artificial intelligence (AI) platforms, domain acquisition and custodial agreements, technology and material transfer agreements, telecommunications service agreements, non-disclosure agreements (NDAs), commercialization agreements, settlement agreements involving IP assets, and IP-related amendments. Because he understands the underlying technology, he spots risks and opportunities that a purely commercial attorney might miss, particularly where IP rights, data privacy, and commercial strategy converge. Much of his work is data-centric, addressing data ownership, data processing obligations, privacy compliance, security requirements, and the responsible use of AI.

On the patent side, Lloyd focuses on software, AI, and data-driven technologies, including systems for financial transactions, banking, and digital platforms. He has represented Fortune 100 companies, financial institutions, companies with extensive patent portfolios, mid-size businesses pursuing strategic technological innovation, and startups launching unique ideas into the marketplace. His patent work informs his transactions practice, and vice versa. When he drafts a license agreement, he knows which terms matter and why, and when he prosecutes a patent, he is already thinking about how the claims will hold up in a future licensing or enforcement scenario.

Lloyd understands the needs of inventors because he is one. He is a co-inventor on several patents and patent applications for emerging technologies across multiple industries. He holds a graduate degree in electrical and computer engineering, giving him the technical depth to evaluate system architectures and engage directly with engineering teams. While his primary focus is software, AI, and data systems, his technical competencies span a range of fields, including:

  • Software architecture, business methods, cloud computing, and AI/machine learning systems
  • Data management, data processing, and database systems
  • Cryptography, cybersecurity, and privacy-enhancing technologies
  • Electronics, telecommunications, signal processing, and the internet of things (IoT)
  • Drone and unmanned aerial vehicle (UAV) technologies
  • Vehicle diagnostic equipment and systems
  • Semiconductors
  • Photovoltaic devices and batteries
  • Medical devices
  • Materials science and the mechanical arts

For clients, the practical advantage is straightforward: one attorney who can handle both the IP and the deal; who speaks the language of engineers, IT, and business teams alike; and who brings the technical judgment to protect what matters most in every engagement.

Outside of work, Lloyd enjoys spending time with his wife and three kids, fishing, and traveling. He is also very involved with his church, various home projects, and cheering on his kids at their sporting events. Lloyd is originally from Utah and is a lifelong Utah Jazz fan.
